1. INTRODUCTION

Welcome to SOURC ("Platform", "SOURC", "we", "us", "our").

These Terms and Conditions govern your access to and use of the SOURC platform, website, mobile applications and associated services.

By registering for, accessing, or using the Platform, you agree to be bound by these Terms and Conditions.

If you do not agree to these Terms, you may not use the Platform.

2. DEFINITIONS

In these Terms:

  • Customer means any individual, company, contractor, developer, homeowner, or other person requesting quotations through the Platform.
  • Supplier means any merchant, hardware store, distributor, manufacturer, wholesaler, retailer or service provider registered on the Platform.
  • RFQ means a Request for Quotation submitted through the Platform.
  • Transaction means any sale, purchase, supply or delivery concluded between a Customer and Supplier.
  • Platform means the SOURC website, software, mobile applications and related services.
  • User means any Customer, Supplier or visitor using the Platform.

3. NATURE OF THE PLATFORM

SOURC operates solely as a technology marketplace.

SOURC:

  • Facilitates communication between Customers and Suppliers;
  • Distributes RFQs to Suppliers;
  • Enables Suppliers to submit quotations;
  • Enables Customers to compare quotations.

SOURC does NOT:

  • Sell products;
  • Supply materials;
  • Carry stock;
  • Deliver products;
  • Act as agent for any Supplier;
  • Act as agent for any Customer;
  • Become party to any Transaction.

Any agreement arising from an accepted quotation exists solely between the Customer and the Supplier.

4. USER ELIGIBILITY

Users must:

  • Be at least 18 years old;
  • Have legal capacity to contract;
  • Provide accurate registration information;
  • Maintain accurate account information.

SOURC may suspend or terminate accounts at its sole discretion.

5. CUSTOMER OBLIGATIONS

Customers agree to:

  • Provide accurate RFQ information;
  • Submit genuine quotation requests;
  • Not submit fraudulent requests;
  • Not misuse supplier information;
  • Not interfere with Platform operations.

Customers acknowledge that quotations are based upon information provided and may be subject to adjustment.

6. SUPPLIER OBLIGATIONS

Suppliers warrant that they:

  • Are lawfully registered businesses;
  • Hold all required licenses and registrations;
  • Possess authority to sell listed products;
  • Will provide accurate pricing;

Suppliers remain solely responsible for:

  • Pricing;
  • Product quality;
  • Product warranties;
  • Delivery;
  • Returns;
  • Refunds;
  • Customer service;
  • Legal compliance.

7. QUOTATIONS

Suppliers are solely responsible for quotations submitted.

SOURC does not verify:

  • Pricing accuracy;
  • Product availability;
  • Delivery times;
  • Product specifications;
  • Discounts offered.

A quotation does not constitute acceptance of an order until confirmed directly between the Customer and Supplier.

Suppliers may cancel quotations before acceptance by customer.

8. TRANSACTIONS

All Transactions occur directly between Customers and Suppliers.

SOURC is not responsible for:

  • Payment processing;
  • Product supply;
  • Product defects;
  • Delivery failures;
  • Service quality;

Users acknowledge that SOURC is not a party to any Transaction.

9. PLATFORM FEES

Suppliers Subscription Fee

Access to certain features and services of the Platform requires the Supplier to subscribe to one of the subscription plans made available by SOURC from time to time.

SOURC offers a variety of subscription tiers, each providing different features, benefits and usage limits. Suppliers may upgrade, downgrade or change their subscription tier at any time, subject to the terms applicable to the selected subscription plan.

Where a Supplier subscribes to the Platform, upgrades to a higher subscription tier, or changes subscription plans during an existing monthly billing cycle, the applicable subscription fee shall be calculated on a pro rata basis for the remainder of that billing period. Thereafter, the full monthly subscription fee for the selected subscription tier shall be charged at the commencement of each subsequent billing cycle.

Subscription fees:

  • are payable in advance;
  • are non-refundable except where required by applicable law or expressly agreed by SOURC;
  • may be amended by SOURC upon reasonable prior notice;
  • may be suspended or discontinued for non-payment;

Subscription payments shall be processed through an independent third-party payment gateway service provider appointed by SOURC. By subscribing to the Platform, the Supplier authorises the payment gateway service provider to securely store the Supplier’s nominated credit card or debit card details and to process recurring subscription payments and any pro rata adjustments in accordance with these Terms and the Supplier’s selected subscription plan.

SOURC does not store or retain Suppliers’ payment card information. All payment card data is securely stored and processed by the third-party payment gateway service provider in accordance with applicable payment card industry security standards.

Failure to maintain subscription payments or failure of any authorised payment to be successfully processed may result in the suspension or termination of the Supplier’s access to the Platform until all outstanding amounts have been paid in full.

Quote Request Allocation:

Each Supplier subscription tier includes a specified monthly allocation of Request for Quotation ("RFQ") opportunities, as determined by the Supplier's selected subscription plan.

Unless expressly stated otherwise in writing by SOURC, any unused RFQ allocation shall expire automatically at the end of the applicable monthly billing cycle.

Unused RFQ allocations shall not roll over to subsequent billing periods, shall not accumulate, and shall not be exchanged for cash, credits, refunds or any other benefit.

A new RFQ allocation shall become available at the commencement of each new monthly billing cycle, subject to the Supplier's subscription remaining active and all applicable subscription fees having been paid.

Customer Service Fee

Customers may submit Requests for Quotations (RFQs) free of charge. However, upon a Customer accepting a quotation through the SOURC Platform, a Service Fee shall become payable in respect of that accepted quotation.

The applicable Service Fee shall be determined by SOURC from time to time and may be amended at SOURC's sole discretion upon reasonable notice to Suppliers and, where applicable, Customers.

The Service Fee is incorporated into the accepted quotation and is collected by the Supplier as part of the total amount payable by the Customer.

By participating on the Platform, the Supplier acknowledges and agrees that it acts solely as a collection agent for SOURC in respect of the Service Fee. The Service Fee is collected by the Supplier on behalf of SOURC and does not form part of the Supplier's own revenue.

Upon a Customer accepting a quotation, the Service Fee shall immediately become due and payable by the Supplier to SOURC, irrespective of when payment is received from the Customer.

SOURC shall issue the Supplier with a tax invoice every thirty (30) days for all Service Fees that became payable during the preceding billing period, and the Supplier shall pay the invoiced amount within the payment period specified on the invoice.

Where an accepted quotation does not proceed to a completed transaction between the Customer and the Supplier, the Supplier shall remain liable for the applicable Service Fee unless the Supplier provides SOURC with satisfactory written evidence demonstrating that the transaction did not proceed. SOURC reserves the right, in its sole discretion, to waive or credit the applicable Service Fee where such evidence is accepted.

10. REVIEWS AND RATINGS

Users may submit reviews and ratings.

Reviews must:

  • Be truthful;
  • Be based on genuine experiences;
  • Not be defamatory;
  • Not contain unlawful content.

SOURC reserves the right to remove, edit, reject or moderate reviews at its sole discretion.

11. PROHIBITED CONDUCT

Users may not:

  • Submit false RFQs;
  • Manipulate quotations;
  • Create fake accounts;
  • Circumvent subscription requirements;
  • Harvest user information;
  • Upload malicious software;
  • Infringe intellectual property rights;
  • Engage in fraudulent conduct.

Violation may result in immediate account termination.

12. ANTI-CIRCUMVENTION

Users acknowledge that SOURC invests significant resources into developing and maintaining its marketplace.

Suppliers may not:

  • Use the Platform to obtain leads and avoid subscription obligations;
  • Create multiple accounts to avoid fees;
  • Misrepresent transactions originating through the Platform.

SOURC reserves the right to investigate suspected circumvention and suspend accounts.

13. INTELLECTUAL PROPERTY

All intellectual property relating to the Platform remains the exclusive property of SOURC.

This includes:

  • Software;
  • Databases;
  • Logos;
  • Branding;
  • Content;
  • Platform design;
  • Proprietary processes.

No rights are transferred to Users.

14. DATA PROTECTION AND PRIVACY

SOURC will process personal information in accordance with:

  • South Africa’s Protection of Personal Information Act (POPIA);
  • Applicable privacy legislation.

Users consent to:

  • Collection of account information;
  • Processing of RFQ information;
  • Sharing necessary information with relevant Suppliers;
  • Platform analytics and operational monitoring.

15. DISCLAIMER OF WARRANTIES

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.

SOURC makes no warranties regarding:

  • Supplier performance;
  • Product quality;
  • Product availability;
  • Delivery times;
  • Accuracy of quotations;
  • Accuracy of information;
  • Platform uptime.

To the fullest extent permitted by law, all implied warranties are excluded.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by law, SOURC shall not be liable for:

  • Indirect damages;
  • Consequential damages;
  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Project delays;
  • Construction delays;
  • Defective products;
  • Property damage;
  • Personal injury arising from Transactions.

17. INDEMNITY

Users agree to indemnify and hold harmless SOURC, its directors, shareholders, employees, contractors and affiliates from any claims, losses, liabilities, damages, legal costs or expenses arising from:

  • User conduct;
  • Transactions;
  • Breach of these Terms;
  • Violation of applicable laws;
  • Disputes between Customers and Suppliers.

18. DISPUTES BETWEEN USERS

SOURC is not obligated to mediate disputes.

Any dispute arising from a Transaction must be resolved directly between the Customer and Supplier.

SOURC may, at its discretion, assist in facilitating communication but assumes no responsibility for outcomes.

19. SUSPENSION AND TERMINATION

SOURC may suspend or terminate any account:

  • For breach of these Terms;
  • For suspected fraud;
  • For unlawful conduct;
  • For non-payment;
  • To protect Platform integrity.

Termination does not affect accrued rights or obligations.

20. FORCE MAJEURE

SOURC shall not be liable for any failure, interruption, delay or inability to perform any of its obligations under these Terms where such failure or delay arises directly or indirectly from any event or circumstance beyond its reasonable control, including but not limited to:

  • acts of God, natural disasters, floods, fires, earthquakes or severe weather;
  • power failures, load shedding or utility interruptions;
  • internet, telecommunications or network outages;
  • failures or interruptions of cloud hosting services or third-party technology providers;
  • failures of payment gateway providers, banking systems or other third-party service providers;
  • cyberattacks, hacking, malware, ransomware, denial-of-service attacks or other security incidents;
  • strikes, lockouts or labour disputes;
  • war, terrorism, riots, civil unrest or public disorder;
  • government actions, legislation, regulations, embargoes or court orders;
  • epidemics, pandemics or public health emergencies; or
  • any other event beyond the reasonable control of SOURC.

During the continuance of any Force Majeure event, SOURC’s affected obligations shall be suspended for the duration of the event. SOURC shall use commercially reasonable efforts to restore the Platform and resume normal operations as soon as reasonably practicable.

21. CHANGES TO TERMS

SOURC may amend these Terms from time to time.

Updated Terms will be published on the Platform.

Continued use constitutes acceptance of revised Terms.

22. GOVERNING LAW

These Terms are governed by the laws of the Republic of South Africa.

Any disputes shall be subject to the exclusive jurisdiction of the South African courts.
